Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Doft Dispatch platform, websites, applications, and related services, including https://dispatch.doft.com (collectively, the “Service”).
The Service is provided by PLACE STARS, INC. d/b/a Doft Dispatch (“Doft Dispatch,” “Doft,” “we,” “us,” or “our”).

By accessing or using the Service, creating an account, starting a trial, or clicking to accept these Terms, you agree to be bound by these Terms. If you are using the Service on behalf of a company, carrier, dispatcher, or other business entity, you represent that you have authority to bind that entity, and “you” refers to that entity.
1. The Service
Doft Dispatch provides B2B software tools for trucking carriers, dispatchers, and related transportation businesses. The Service may include dispatch management, AI-assisted broker rate confirmation extraction, driver tracking links, document storage, load management, invoicing, notifications, and related workflow tools.
Doft Dispatch is a software provider. Unless expressly stated in a separate written agreement, Doft Dispatch is not a motor carrier, freight broker, freight forwarder, dispatcher acting on your behalf, freight agent, factoring company, insurance provider, legal advisor, tax advisor, or compliance consultant.
You are solely responsible for your transportation operations, regulatory compliance, safety obligations, contracts, invoices, payments, driver communications, broker relationships, shipper relationships, and all business decisions made using the Service.
2. Accounts and Workspaces
You must provide accurate, complete, and current account information.
You are responsible for:
- maintaining the confidentiality of your login credentials;
- all activity under your account and workspace;
- users you invite to your workspace;
- assigning appropriate roles and permissions;
- promptly removing users who should no longer have access;
- notifying us if you suspect unauthorized access or account compromise.
We may suspend or restrict access if we reasonably believe an account is compromised, used unlawfully, or used in violation of these Terms.
3. Eligibility and Business Use
The Service is intended for business use only and is not intended for personal, household, or consumer use.
You may use the Service only if you can form a binding contract and are legally permitted to use the Service under applicable law.
4. Your Data
As between you and Doft Dispatch, you own your business data, including carrier records, driver records, truck records, broker information, load information, documents, invoices, uploaded files, and other information you submit to the Service (“Customer Data”).
You grant Doft Dispatch a limited, non-exclusive, worldwide license to host, store, process, transmit, display, reproduce, and use Customer Data only as necessary to:
- provide, operate, secure, and improve the Service;
- process documents and generate extracted fields;
- provide support and troubleshoot issues;
- prevent abuse and enforce these Terms;
- comply with legal obligations.
You are responsible for ensuring that you have all rights, permissions, notices, and consents required to upload, process, and share Customer Data through the Service, including any driver location data or personal information.
5. Driver Tracking and Location Data
The Service may allow you to create or send driver tracking links for load visibility and dispatch operations.
You are responsible for ensuring that drivers and other tracked individuals receive any required notices and provide any required consents before tracking is used.
You may not use driver tracking features for unlawful surveillance, harassment, personal tracking unrelated to dispatch operations, or any purpose prohibited by law.
6. AI Features
The Service may include AI-assisted features, including extraction, classification, summarization, or structuring of information from broker rate confirmations, invoices, load documents, and other uploaded files.
AI outputs may be incomplete, inaccurate, delayed, or unsuitable for a particular purpose. You must independently review and verify AI-generated or AI-extracted information before relying on it for dispatch, billing, compliance, payment, operational, or legal decisions.
Doft Dispatch is not responsible for losses caused by your failure to review or verify AI outputs.
7. Payments, Plans, Trials, and Billing
Paid plans are billed in advance through our payment processor, Stripe, unless otherwise stated.
You authorize Doft Dispatch and its payment processor to charge the payment method you provide for subscription fees, usage-based fees, taxes, and other charges associated with your account.
If you start a free trial, the trial may convert to a paid subscription at the end of the trial period unless you cancel before the trial ends.
Fees are non-refundable except where required by law or expressly stated in a separate written agreement.
We may change pricing, plans, or billing terms by providing notice. Pricing changes will apply at the next renewal period unless otherwise stated.
If payment fails, we may suspend, restrict, or terminate access to the Service.
8. Acceptable Use
You may not use the Service to:
- violate any law, regulation, court order, contract, or third-party right;
- upload or transmit malware, harmful code, or security exploits;
- attempt to access another customer’s workspace or data;
- bypass, disable, or interfere with security, rate limits, or access controls;
- reverse engineer, scrape, copy, or misuse the Service except as allowed by law;
- send spam, unsolicited messages, or unlawful communications;
- impersonate another person or business;
- upload content that is unlawful, defamatory, fraudulent, infringing, or harmful;
- use the Service to support illegal transportation, fraud, cargo theft, or other unlawful activity;
- interfere with the operation, availability, or integrity of the Service.
We may investigate and take action against suspected violations, including suspension or termination.
9. Third-Party Services
The Service may rely on or integrate with third-party services, including cloud hosting, email, SMS, payment processing, maps, error monitoring, AI processing, and other infrastructure or software providers.
Third-party services may be subject to their own terms and privacy policies. Doft Dispatch is not responsible for third-party services that we do not control.
10. Service Availability and Changes
We work to keep the Service available and reliable, but we do not guarantee uninterrupted, error-free, or always-available operation.
We may modify, update, suspend, discontinue, or remove features at any time. We will use commercially reasonable efforts to provide notice where a material change materially reduces core functionality of a paid plan.
11. Customer Responsibilities
You are responsible for:
- reviewing all dispatch, billing, invoice, load, and document information before using it;
- complying with FMCSA, DOT, state, local, contract, insurance, tax, safety, employment, and transportation requirements applicable to your business;
- maintaining your own records where required by law or contract;
- ensuring that your use of the Service is lawful;
- backing up or exporting Customer Data as needed for your business.
Doft Dispatch does not guarantee compliance with any transportation, tax, employment, safety, or regulatory obligation.
12. Confidentiality
Each party may receive non-public business, technical, or operational information from the other party that should reasonably be understood to be confidential.
Each party agrees to use reasonable care to protect the other party’s confidential information and to use it only as necessary to perform under these Terms, provide the Service, or exercise rights under these Terms.
Confidentiality obligations do not apply to information that is publicly available, already known without restriction, independently developed, rightfully received from a third party, or required to be disclosed by law.
13. Intellectual Property
Doft Dispatch and its licensors own all rights, title, and interest in the Service, software, designs, interfaces, technology, documentation, trademarks, logos, and related intellectual property.
These Terms do not transfer ownership of the Service or Doft Dispatch intellectual property to you.
You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on the Service except as expressly permitted by law or by us in writing.
14. Feedback
If you provide feedback, suggestions, ideas, or recommendations, you grant Doft Dispatch a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or compensation.
15. Termination
You may stop using the Service or cancel your subscription at any time through your account settings or by contacting support.
We may suspend or terminate your access if:
- you violate these Terms;
- payment is overdue or fails;
- your use creates security, legal, operational, or reputational risk;
- we are required to do so by law;
- the Service is discontinued.
Upon termination, your right to use the Service ends. We may retain or delete Customer Data according to our Privacy Policy, data retention practices, and legal obligations.
16. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOFT DISPATCH DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RELIABILITY.
DOFT DISPATCH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT AI OUTPUTS, DOCUMENT EXTRACTIONS, TRACKING DATA, MAPS, INVOICES, OR OTHER SERVICE OUTPUTS WILL BE ACCURATE OR COMPLETE.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOFT DISPATCH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, CARGO LOSS, PAYMENT DISPUTES, DRIVER DISPUTES, BROKER DISPUTES, OR TRANSPORTATION-RELATED LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOFT DISPATCH’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO DOFT DISPATCH FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
- ONE HUNDRED U.S. DOLLARS (US $100).
The limitations in this section apply to all theories of liability, including contract, tort, negligence, strict liability, warranty, statute, and otherwise, to the extent permitted by law.
18. Indemnification
You agree to defend, indemnify, and hold harmless Doft Dispatch and its officers, directors, employees, contractors, agents, affiliates, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- your use of the Service;
- your Customer Data;
- your transportation, dispatch, carrier, broker, shipper, driver, invoice, payment, or load-related operations;
- your violation of these Terms;
- your violation of law or third-party rights;
- your failure to provide required notices or obtain required consents for driver tracking or personal information processing.
19. Governing Law and Venue
These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Clark County, Nevada, and each party consents to the personal jurisdiction and venue of those courts.
20. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice by email, in-app notice, or by updating the effective date above.
Your continued use of the Service after updated Terms become effective means you agree to the updated Terms.
21. Miscellaneous
These Terms, together with any order form, subscription terms, or policies referenced in them, are the entire agreement between you and Doft Dispatch regarding the Service.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
Our failure to enforce a provision is not a waiver of our right to do so later.
